Leaving Your Manufacturer Starts with Cosmetic Formula Ownership
Cosmetic formula ownership means your brand, not your manufacturer, holds the full formula, the right to use it, and the documents needed to make it somewhere else. Health and Beauty Partners helps US personal care brands secure that ownership, then move production to a new US manufacturer or to Europe.
Who Owns My Cosmetic Formula?
Often, not who you think. If your manufacturer developed or adjusted the formula, your agreement decides who owns it. Many agreements are vague on this, and it rarely comes up until you try to leave.
Owning the formula in practice means you can hand a new manufacturer everything they need to make your product the same way.

Your formula. Your IP. Always.
What Ownership Looks Like
- The full formula in your name, with INCI names (the standard ingredient names) and exact percentages
- The right, in writing, to make it with another manufacturer
- Raw material specifications and supplier details
- Manufacturing instructions for how it's made
- Stability and preservative testing data
Signs It's Time to Switch Contract Manufacturers
Brands usually call us after one of these.
"Your MOQ just went from 2,500 to 10,000."
"Your manufacturer was acquired, and now nobody returns your calls."
"Two batches in a row came back off-spec."
"You asked for your formula, and they said it's theirs."
Switching Contract Manufacturers: What Goes Wrong Without Ownership
Most failed moves don't fail at the new manufacturer. They fail at the old one.
The New Manufacturer Can't Start
Without the full formula and specs, they have to reverse engineer your product. That takes time and rarely matches exactly.
Your Contract Gets in the Way
Exclusivity, minimum volumes, and notice periods can block or delay a move you've already announced to retailers.
The Product Changes
Different raw materials or a different process can shift texture, scent, or stability. Customers notice.
How CM Exit Works
Two phases. You decide after the first whether to go on.
Phase 1: The Rescue Diagnostic
About three weeks once your documents arrive
- Review your manufacturing agreement for ownership, exclusivity, minimums, and exit terms
- Check your formula and documents for gaps
- Map what a move would take, and to where
- Give you a written plan: what you own, what's missing, and the route out
It's a paid, fixed-fee phase, and the fee is credited to Phase 2 if you continue.
Phase 2: Secure and Move
Scoped in your proposal
- Secure your formula, IP, and documents
- Find and qualify the new manufacturer, in the US or Europe
- Oversee the technology transfer
- Keep stability testing and compliance on track through first production
We're not attorneys. We review contracts from the manufacturing side and work alongside your attorney on the legal terms.
What Is a Cosmetics Technology Transfer?
A technology transfer is moving your formula to a new manufacturer without it changing. It's part science, part project management.
Dan Pont, our Chief Formulating Officer, leads the technical work. See our formulation and technical review →
The Transfer, Step by Step
- Hand over the full formula, specs, and manufacturing instructions
- The new manufacturer makes lab batches
- We compare them side by side with your current product
- Stability testing confirms the product holds up
- A pilot run, then first production
Where You Can Move: A New US Manufacturer or Europe
A New US Manufacturer
Stay close to your team and your US customers, with a partner whose minimums, quality, and communication fit where your brand is now.
Europe
You can't move to Europe if you can't move your formula. Once it's yours, production in Europe can serve European shelves directly. See how EU and UK expansion → works, or take the Readiness Scorecard →
How we're paid on a move: if you move to a manufacturer we recommend, Health and Beauty Partners may earn a commission from that manufacturer. We tell you in writing before you decide, and the choice of manufacturer is yours.
Cosmetic Formula Ownership: Common Questions
Who owns my cosmetic formula if my manufacturer developed it?
It depends on your manufacturing agreement. Some assign the formula to the brand, some keep it with the manufacturer, and some don't say. The Rescue Diagnostic reviews your agreement and documents so you know where you stand, and your attorney confirms the legal position.
What documents do I need to move my formula?
At minimum: the full formula with INCI names and exact percentages, raw material specifications and supplier details, and manufacturing instructions. Stability and preservative testing data help the new manufacturer start faster. We check what you have and what's missing.
What is the Rescue Diagnostic, and how long does it take?
It's the paid first phase of CM Exit. We review your agreement, formula, and documents, then give you a written plan for the move. It takes about three weeks once we receive your documents, and the fee is credited to the next phase if you continue.
Will my product change after the transfer?
The goal is that your customers can't tell the difference. Dan Pont leads the technical transfer: lab batches from the new manufacturer are compared side by side with your current product, and stability testing confirms it holds up before full production.
Are you giving legal advice?
No. We're not attorneys. We review contracts from the manufacturing side, flag the terms that affect a move, and work alongside your attorney on the legal terms.
Do you get paid if I move to a manufacturer you recommend?
Sometimes. If you move to a manufacturer we recommend, Health and Beauty Partners may earn a commission from that manufacturer. We tell you in writing before you decide, and the choice is yours.
Find Out What You Actually Own
Bring your manufacturing agreement if you can. On the call, we'll tell you whether the Rescue Diagnostic makes sense, or whether you're already in good shape.
HBP can be paid by manufacturing partners as well as a commission on your international sales. Both will be disclosed in your proposal. How we work and how we're paid →
